For the duration, whenever an officer or director is personally named in a claim arising from a decision made in that capacity, they may attempt a Solvency saving throw with advantage, backed by the policy’s limits rather than their own personal assets. Unlike Indemnification, this protection requires no other creature to have signed anything — it is purchased from a third party who was never involved in the decision being covered.

Coverage does not apply to any act the insurer can characterize, after the fact, as fraudulent, criminal, or undertaken for personal profit rather than the organization’s benefit. This determination is made by the insurer, not the insured, and is typically made only once a claim large enough to matter has actually been filed.

At Higher Levels. When cast using a spell slot of 7th level or higher, coverage may be extended retroactively to a decision made before the policy was bound, provided the claim itself is filed after.
