Indemnification

3rd-level Compliance & Risk

Casting Time: 1 reaction, which you take when you or your organization would suffer liability, damage, or blame
Range/Area: 30 feet, or the reach of a signed contract, whichever is greater
Components: V, S, M (a contract containing an indemnification clause, previously signed by the target)
Duration: Instantaneous; the redirected consequence lasts for the life of the underlying agreement
Classes: General Counsel, Risk Manager, Procurement Officer

Choose a creature within range who has previously agreed, in writing, to hold your organization harmless. The triggering liability, damage, or blame is redirected in full to the chosen creature, who must make a Solvency saving throw. On a failed save, the creature suffers the full consequence in your place. On a successful save, the creature suffers it anyway, but may spend up to the next year attempting to recover a portion of it through further litigation.

This spell has no effect on a creature who, at the time of signing, lacked the legal sophistication or bargaining power to understand what they were agreeing to. This limitation is rarely enforced and even less rarely discovered before the contract is signed.

At Higher Levels. When you cast this spell using a spell slot of 4th level or higher, the redirected liability may be spread across multiple indemnifying parties simultaneously, reducing the consequence borne by any one party but increasing the total time required to resolve it.
